Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Abbalininv Center ("Company," "we," "our," or "us") regarding your use of our website, services, and products.

By accessing our website, placing an order, or using any of our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Description of Services

Abbalininv Center provides professional printing, copying, and design services including but not limited to:

  • Digital and offset printing services
  • High-volume copying and document reproduction
  • Graphic design and brand identity services
  • Large format printing and signage
  • Binding, finishing, and specialty printing services
  • Related consultation and support services

3. Order Process and Acceptance

3.1 Quotations

All quotations provided by us are valid for 30 days unless otherwise specified. Quotations are estimates based on the information provided and may be subject to adjustment based on final specifications.

3.2 Order Acceptance

Orders are accepted subject to our approval and capacity. We reserve the right to refuse any order at our discretion. Order confirmation constitutes acceptance of your order and creates a binding contract.

3.3 Specifications

You are responsible for providing accurate and complete specifications for your project. We will execute orders based on the approved specifications. Changes to specifications after order confirmation may result in additional charges and delays.

4. Pricing and Payment

4.1 Pricing

All prices are in Canadian dollars and exclude applicable taxes unless otherwise specified. Prices are subject to change without notice, but confirmed orders will be honored at the agreed price.

4.2 Payment Terms

  • Payment is due upon order placement unless credit terms have been established
  • Credit accounts are subject to approved credit applications and terms
  • Late payments may be subject to service charges and interest
  • We reserve the right to hold orders pending payment

4.3 Additional Charges

Additional charges may apply for:

  • Rush orders and expedited services
  • Changes to approved specifications
  • Special materials or processes
  • Delivery and shipping services
  • Storage of materials beyond standard terms

5. Client Responsibilities

5.1 File Preparation

You are responsible for:

  • Providing print-ready files in acceptable formats
  • Ensuring files meet our technical specifications
  • Verifying accuracy of content, spelling, and layout
  • Providing necessary fonts, images, and linked files
  • Approving proofs and samples before production

5.2 Content Approval

You are solely responsible for the accuracy and appropriateness of all content. We are not responsible for errors in content that are present in approved files or specifications.

5.3 Legal Compliance

You warrant that all materials and content:

  • Do not infringe on intellectual property rights
  • Comply with applicable laws and regulations
  • Do not contain defamatory, offensive, or illegal content
  • Include necessary permissions and releases

6. Production and Delivery

6.1 Production Times

Production times are estimates based on normal operating conditions and begin after receipt of approved files and payment. Rush services may be available for additional charges.

6.2 Delivery

Delivery terms are specified in individual orders. Risk of loss transfers to you upon delivery or pickup. We are not responsible for delays caused by shipping carriers or circumstances beyond our control.

6.3 Quality Standards

We maintain industry-standard quality control processes. Minor variations in color, registration, and finish are normal in printing and do not constitute defects.

7. Warranties and Quality Assurance

7.1 Limited Warranty

We warrant that our services will be performed in a workmanlike manner according to industry standards. This warranty is limited to replacement or credit for defective work.

7.2 Quality Claims

Quality claims must be made within 10 days of delivery. We reserve the right to inspect claimed defects and determine appropriate remedies.

7.3 Warranty Limitations

Our warranty does not cover:

  • Errors in client-provided content or specifications
  • Normal variations in printing processes
  • Damage after delivery
  • Materials provided by the client
  • Subjective quality preferences

8. Intellectual Property

8.1 Client Content

You retain ownership of your intellectual property and content. You grant us a limited license to use your content solely for providing the requested services.

8.2 Our Materials

We retain ownership of all processes, techniques, and materials developed by us. Any original creative work performed by us may be subject to separate intellectual property agreements.

8.3 Infringement

You agree to indemnify us against any claims of intellectual property infringement arising from your content or specifications.

9. Limitation of Liability

9.1 Liability Cap

Our total liability for any claim is limited to the amount paid for the specific service giving rise to the claim.

9.2 Consequential Damages

We are not liable for indirect, consequential, incidental, or punitive damages, including lost profits, business interruption, or lost opportunities.

9.3 Time Limitations

Any legal action against us must be commenced within one year of the delivery date or the date the claim arose.

10. Cancellation and Changes

10.1 Order Changes

Changes to confirmed orders may result in additional charges and delays. We will notify you of any changes to pricing or delivery times.

10.2 Cancellation

Orders may be cancelled before production begins. Cancellation charges may apply for work already performed or materials purchased.

10.3 Force Majeure

We are not responsible for delays or failures due to circumstances beyond our control, including natural disasters, equipment failures, or supply chain disruptions.

11. Privacy and Confidentiality

We respect your privacy and maintain confidentiality of your projects and information in accordance with our Privacy Policy. We may use general project information for marketing purposes unless you request otherwise.

12. Website Use

12.1 Acceptable Use

You may use our website for lawful purposes only. Prohibited uses include:

  • Attempting to disrupt or compromise website security
  • Using automated systems to access the website
  • Uploading malicious content or viruses
  • Violating intellectual property rights
  • Impersonating others or providing false information

12.2 Website Content

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

15.4 Entire Agreement

These Terms, together with our Privacy Policy and any written agreements, constitute the entire agreement between you and us.

15.5 Modification

We may modify these Terms at any time by posting updated terms on our website. Continued use of our services constitutes acceptance of modified terms.

15.6 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce such provision in the future.
